By checking the box next to the Terms of Use and clicking the “Purchase” button, you (hereinafter “Client” or “Member”) agree and willingly purchase access to the membership described below, to be provided by Cait Scudder International, LLC, a South Dakota Limited Liability Company DBA The Millionaire Mother (hereinafter “Company”). Client agrees she is voluntarily entering into a legally binding Agreement with Company, inclusive of the following terms and conditions mutually agreed upon. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by all parties, Client is voluntarily electing to purchase access to The MotherHub Membership (hereinafter “the Membership”). In exchange, Company agrees to provide the services outlined in the Deliverables Addendum attached hereto.
a. Client agrees and understands that she is purchasing an annual membership in The MotherHub, a community and membership platform operated by Company and hosted on the Circle platform.
b. The Membership is an annual commitment of twelve (12) months, beginning on the date of purchase and continuing for the twelve (12) months that immediately follow.
c. Client acknowledges that she has read the Deliverables Addendum and conducted any additional research necessary to feel she understands what is being provided, as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures of Company.
d. The Membership is personal to Client and may not be shared, transferred, resold, or assigned to any other person or entity. Login credentials are for Client’s individual use only.
a. Through participation in the Membership, Client will gain access to trade secrets and personal intellectual property of Company, including but not limited to strategic frameworks, business advice, operational materials, training content, community spaces, and proprietary information belonging to other Members. Client understands and acknowledges that this information is not to be shared outside the MotherHub Membership Community.
b. The Membership also includes a private peer community. Client agrees to keep information shared by fellow Members confidential, to refrain from using or appropriating any materials, ideas, or strategies shared by other Members, and to honor the trust that makes the community function. A breach of peer confidentiality is a breach of this Agreement.
c. Client agrees not to share, copy, or distribute any documents, recordings, or proprietary information obtained through the Membership, nor any information obtained or learned from other members shared within the Membership, and agrees that she will be in violation of these Terms if she uses any content obtained through the Membership as her own material or repurposes it for sale or distribution without express written permission of Company.
a. Client understands and agrees that any feedback provided by Client to Company about the Membership or Company in general — on any public platform or within community spaces — may be used by Company as a testimonial and may be published in connection with marketing for the Membership and Company. Client hereby grants Company a non-exclusive, perpetual license to use all content of the testimonial, whether written or oral, as well as Client’s name, business name, and likeness. If Client would like to remain anonymous in any shared testimonial, Client must inform Company in writing.
a. Payment authorization. By completing a purchase, Client authorizes Company to process the transaction amount in accordance with the payment option selected at checkout. All prices are in USD. Payments are processed through a secure, PCI-compliant third-party payment processor. Client is responsible for ensuring that her payment method and billing information remain current and accurate for the duration of any active payment plan.
b. Annual Membership — paid in full. Client may elect to pay for her full annual Membership term at $1,497.00 USD, due in full at the time of enrollment. By selecting this option, Client commits to a full twelve-month Membership term and acknowledges the refund policy in Section 5.
c. Annual Membership — monthly payment plan. Client may elect to pay for her annual Membership via a monthly payment plan at $149.00 USD per month for twelve (12) consecutive months, totaling $1,788.00 USD. Installments are automatically charged to Client’s payment method on or about the same calendar date each month. By selecting the monthly payment plan, Client understands and agrees that the Membership is an annual commitment; that monthly installments are a payment convenience and not a month-to-month “pay as you go” subscription; that she may not cancel individual installments or exit the plan early; that all twelve installments are due and payable in full regardless of her level of participation, satisfaction, or engagement; and that she authorizes Company to automatically charge her payment method per the agreed schedule for the full twelve-month term. If Client cancels her Membership during an active payment plan term, all remaining scheduled installments remain due and payable in full.
d. Founding Mother pricing. At Company’s discretion, Founding Mother rates may be made available during a designated enrollment window. A Client enrolling at the Founding Mother rate may elect one of the following payment options:
i. Founding Mother — paid in full. Client may elect to pay for her full annual Membership term at $697.00 USD, due in full at the time of enrollment.
ii. Founding Mother — quarterly payment plan. Client may elect to pay for her annual Membership via a quarterly payment plan at $222.00 USD every three (3) months for four (4) consecutive installments, totaling $888.00 USD. The first installment is due at the time of enrollment, and each subsequent installment is automatically charged to Client’s payment method on or about the same calendar date every three (3) months.
Annual commitment. The Founding Mother quarterly payment plan is an annual commitment of twelve (12) months. By selecting this plan, Client understands and agrees that installments are a payment convenience and not a quarter-to-quarter “pay as you go” subscription; that she may not cancel individual installments or exit the plan early; that all scheduled installments are due and payable in full regardless of her level of participation, satisfaction, or engagement; and that she authorizes Company to automatically charge her payment method per the agreed schedule for the full twelve-month term. If Client cancels her Membership during an active payment plan term, all remaining scheduled installments remain due and payable in full.
Payment option is final. The payment option Client selects at the time of enrollment applies for the duration of her Membership and may not be changed.
Rate lock. Client keeps her Founding Mother rate for each renewal term, provided the Membership renews continuously without cancellation or termination. The Founding Mother rate is permanently forfeited and may not be reinstated if Client cancels her Membership, if Company permanently revokes Membership access for non-payment under Section 4e, or if Company terminates the Membership under Section 9d. A failed payment that Client resolves, including a temporary suspension of access under Section 4e that is brought current, does not result in forfeiture of the Founding Mother rate. Any future enrollment following forfeiture will be at the then-current standard rate.
e. Failed or late payments. If a scheduled payment cannot be processed, Client will be notified promptly and must resolve the failed payment within five (5) calendar days of notice. If the payment is not resolved within this grace period, access to the Membership may be suspended until the account is brought current. After two (2) consecutive failed payment attempts with no resolution, Company reserves the right to permanently revoke Membership access and refer the outstanding balance to a third-party collections agency. Suspension or termination of access for non-payment does not cancel Client’s obligation to complete all remaining payments under her selected plan. All outstanding balances remain due and payable regardless of access status.
f. No withholding. Client may not withhold, offset, or reduce any payment for any reason — including dissatisfaction, disputes, perceived non-delivery, or personal circumstances — unless expressly required by applicable law.
g. Chargebacks. Before initiating a chargeback or payment dispute with her card issuer or financial institution, Client must submit a written request to support@themillionairemother.com and allow seven (7) business days for Company to review and respond. Initiating an unwarranted chargeback without first contacting Company constitutes a material breach of this Agreement and may result in immediate suspension or termination of Membership access without refund, dispute of the chargeback with full supporting documentation submitted to the payment processor, recovery of any chargeback fees, processing costs, or related damages incurred by Company, and reporting of the matter to relevant payment processors or authorities where applicable.
h. Taxes and currency. Client is solely responsible for any applicable taxes, duties, or currency conversion fees related to her purchase. All payments must be made in USD as specified at checkout.
i. MotherHub Expert Network — separate purchase. The MotherHub Expert Network is an application-only tier available exclusively to active MotherHub Members, and may be purchased separately following a Membership purchase and with an active Membership account only. Pricing and payment terms for the Expert Network are governed by a separate agreement provided at the time of application approval. The Membership is a prerequisite for the Expert Network and must be maintained for the duration of Expert Network participation. Termination or lapse of the Membership will result in forfeiture of Expert Network access without refund and does not relieve the Member of outstanding Expert Network payment obligations or Membership payment obligations.
j. Recovery of amounts owed. If Client fails to make any payment when due, or initiates a chargeback or payment dispute in breach of this Agreement, Company reserves the right to recover all amounts owed under Client’s selected payment option, including all remaining scheduled installments for the current annual term, which shall become immediately due and payable upon written notice from Company. Client authorizes Company to charge any payment method on file for such amounts. Client further agrees to reimburse Company for all costs of collection, including collection agency fees, reasonable attorneys’ fees, court and arbitration costs, and payment processing or chargeback fees, together with interest on any unpaid balance at the maximum rate permitted by applicable law. Company’s acceptance of any late or partial payment does not waive its right to collect the full balance owed.
k. Third-party “buy now, pay later” financing. Company may, at its discretion, offer Client the option to pay at checkout through a third-party financing provider such as Klarna or Afterpay (each a “Financing Provider”). Where offered, the following terms apply.
Eligibility and availability. Financing options are offered and approved solely by the Financing Provider. Whether an option appears at checkout depends on factors Company does not control, including Client’s country or region of residence, billing address, currency, order amount, payment method, and the Financing Provider’s own eligibility and credit decisions. A financing option may not appear for every Client, and its absence at checkout is not an error by Company. Company may add, change, or remove financing options at any time without notice.
Separate agreement. When Client pays through a Financing Provider, she enters into a separate agreement directly with that provider. Company is not a party to that agreement and is not responsible for the Financing Provider’s approval decisions, payment schedules, fees, interest, late charges, credit reporting, or collection practices. Questions about a financing plan must be directed to the Financing Provider.
Payment to Company. A purchase financed through a Financing Provider is treated by Company as payment in full of the selected Membership price at the time of purchase, and Client’s repayment obligation is owed to the Financing Provider. All other terms of this Agreement continue to apply, including the annual commitment in Section 1b and the refund policy in Section 5.
No cancellation or disputes through the provider. Canceling the Membership does not cancel, reduce, or pause Client’s obligations to the Financing Provider. Client agrees not to use the Financing Provider’s dispute, return, or refund process to avoid payment for the Membership. Any such dispute will be treated as a chargeback under Section 4g. If the Financing Provider reverses or withholds payment to Company, Company may suspend or terminate Membership access and recover the amount owed under Section 4j.
Renewals. Financing applies only to the purchase in which it was selected. Renewal charges under Section 9b will be processed to the payment method Client has on file with Company, unless Company offers and Client selects a financing option at the time of renewal.
a. All sales are final. Due to the nature of the Membership — including immediate access to the Millionaire Mother Resource Vault and the full library of digital content upon enrollment — Company is not able to offer refunds once Client’s purchase is complete. Please conduct any and all necessary research to determine whether the Membership is right for you prior to purchasing.
b. If Client cancels or exits the Membership prior to the end of her annual term, no refund or prorated credit will be issued for any unused portion of the term. Clients on any payment plan under Section 4c or 4d remain obligated to complete all scheduled payments for the current annual term.
c. Company reserves the right to remove a Client from the Membership for breach of these Terms, conduct violations, or any other reason in Company’s sole discretion. Removal for cause does not entitle Client to a refund or relief from outstanding payment obligations.
a. The deliverables included in the Membership are described in the Deliverables Addendum attached hereto. All deliverables are active for the duration of Client’s active Membership term. Company will make reasonable efforts to deliver all listed items within the annual term.
b. Scheduling of live programming — including expert workshops, community networking calls, and office hours — is at Company’s sole discretion. Company will provide advance notice of dates and will make reasonable efforts to schedule at times accessible to Members. Inability to attend a scheduled session does not constitute grounds for a refund or credit. Sessions will be recorded and made available where possible, but Company does not guarantee that any individual session will be recorded or retained.
c. Company reserves the right to modify, adjust, or substitute elements of the Membership if necessary, provided that the overall value and scope of the Membership remain materially consistent. This includes changes to delivery method, session format, scheduling, platform, facilitator, or substitution of elements with offerings of equal or greater value. Such changes will not be considered a breach of this Agreement.
d. Guest experts and facilitators. Live workshops and sessions may be led by guest experts, including members of the MotherHub Expert Network. Company selects and schedules guest experts at its discretion and makes no guarantee as to the identity, credentials, validity, or availability of any particular facilitator, or whether any guest expert makes his/her materials available following the presentation or training.
e. In-person meetups. MotherHub meetups are local in-person gatherings organized and hosted by members of the MotherHub Expert Network tier, and not by Company. Hosting is limited to Expert Network tier members. Meetups are included with an active Membership: no admission fee, ticket price, or charge of any kind may be imposed as a condition of attendance, and attendance is open to active Members only. Food, beverage, venue, and similar costs may be incurred at an individual meetup; any such arrangement is determined between the hosting member and attending Members, and Company neither sets nor is a party to it. Locations, dates, frequency, capacity, and format are determined solely by the hosting Expert Network member, who is responsible for securing and assessing the suitability and safety of her chosen venue, whether a private residence, coworking space, or other gathering place. Company does not organize, staff, supervise, insure, or control any meetup or venue. Company makes no guarantee that a meetup will be held within geographical reach of any individual Member, that any meetup will occur in a given period, or that any particular member will host. Travel, transportation, accommodation, food, beverage, and all incidental costs are the sole responsibility of Client. Company is not responsible for any cost, loss, or damage arising from the cancellation, rescheduling, relocation, or conduct of any meetup. Client attends at her own risk and is solely responsible for assessing the suitability and safety of any gathering she elects to attend.
f. Platform. The Membership is hosted on a third-party platform. Company is not responsible for third-party platform outages, changes in functionality, or discontinuation of service, and reserves the right to migrate the Membership to an alternative platform at its discretion. Client confirms she will review any and all terms associated with any third-party platform and join at her own risk, following individual and independent assessment of the platform. Company will not be liable or responsible for any issues with any third-party platform.
a. All content, frameworks, materials, recordings, and programming associated with the Membership remain the intellectual property of Company. Nothing in this Agreement constitutes a transfer of ownership of any intellectual property from Company to Client.
b. Client is granted a limited, non-exclusive, non-transferable, revocable license to access and use Membership content for her own personal and business purposes during her active term. This license terminates upon expiration or termination of the Membership.
c. Client agrees not to copy, reproduce, distribute, resell, or exploit any proprietary content accessed through the Membership, including recordings and Resource Vault materials, without express written permission from Company.
d. Client retains ownership of her own business’s intellectual property and is solely responsible for ensuring that any content she shares within the Membership does not infringe upon the rights of any third party.
a. Rolodex listing. Client will receive a listing in the MotherHub Rolodex within the Circle platform, searchable by name, location, and area of expertise. The listing is maintained for the duration of Client’s active Membership and is removed upon expiration or termination.
b. Client grants Company a non-exclusive license to publish the business information, name, likeness, and materials she supplies for her Rolodex listing and for any other Member-facing feature, for the duration of her active term.
c. Company reserves the right to decline, edit, or remove any listing content that is inaccurate, unlawful, or inconsistent with community standards.
d. Company is not responsible for traffic, inquiries, leads, or business results generated from any Rolodex listing or other Member-facing feature.
a. Client’s Membership term begins on the date of purchase and continues for twelve (12) continuous months.
b. Automatic renewal. At the end of each annual term, the Membership will automatically renew for an additional twelve-month period at the then-current renewal rate (or, for Clients who enrolled at the Founding Mother rate, at that rate as provided in Section 4d), and Client’s payment method on file will be charged accordingly. Company will provide advance written notice of the upcoming renewal and the applicable renewal rate no fewer than thirty (30) days prior to the renewal charge being processed. For Clients on a monthly or quarterly payment plan, each renewal begins a new twelve-month commitment, and installments continue on the same schedule at the applicable rate.
c. Cancellation of auto-renewal. Client may cancel her Membership auto-renewal at any time before the scheduled renewal date by emailing support@themillionairemother.com. Cancellation takes effect at the end of the current annual term, and Client will retain access through the end of the paid period. No refunds will be issued for any unused portion of a paid Membership term. If Client is on a monthly or quarterly payment plan under Section 4c or 4d, cancellation of auto-renewal does not waive any remaining installments owed for the current annual term; all scheduled payments remain due through the end of the twelve-month commitment.
d. Termination by Company. Company may elect to terminate Client’s access to the Membership in the event of a breach of these Terms, failure to make required payments, suspected illegal activity, infringement or distribution of any portion of Membership content, conduct that is harmful or disruptive to other Members, or for any other reason in Company’s sole and complete discretion. Termination for cause does not entitle Client to a refund or relief from outstanding payment plan obligations.
e. Effect of termination. Upon expiration or termination of the Membership for any reason, Client’s access to all community spaces, the Resource Vault, recordings, her Rolodex listing, and all Village Perks is revoked. Where Client also holds MotherHub Expert Network access, Section 4i governs.
a. Client understands and agrees that she is voluntarily choosing to enroll in the Membership and is solely responsible for any outcomes or results. Company is not responsible or liable to Client should Client sustain any injuries, incur harm, or encounter any negative ramifications as a result of participation, including in connection with any in-person event or meetup, whether organized by Company or by another member. Client assumes full responsibility for her participation and all results therein.
a. Company cannot guarantee results of the Membership and cannot make any representations or guarantees regarding individual outcomes, including revenue, business growth, visibility, or personal results. Client confirms she is paying for access to the Membership and all tools included; purchase does not include any guaranteed results.
b. Platform statistics referenced in marketing materials — including website traffic and social reach — reflect Company’s overall platform performance at the time of publication and are not guarantees of results for any individual Member, and all results will vary.
c. The Curated Connections Concierge (the “Concierge”) points Members toward resources within the MotherHub platform, which may include content in the Resource Vault, Members of the community, or listings in the Expert Network directory. The Concierge does not route business, refer clients, or generate leads on behalf of any Member, and Company makes no representation that any Member will receive inquiries, referrals, or business through it.
d. Village Perks and third-party providers. Village Perks are offers supplied by third parties, including members of the MotherHub Expert Network. Company places these offers within the Membership but does not set, control, or guarantee their terms, availability, value, or fulfillment. Company makes no representations or guarantees regarding the quality, availability, or results of any third-party provider, and is not responsible for the outcome of any business engagement between a Member and a third-party provider. Any dispute arising from a Village Perk or a third-party engagement is between the Member and that provider.
e. The Opportunities Board carries listings submitted by Members and third parties. Company does not endorse or guarantee any opportunity posted, and is not a party to any engagement arising from it.
f. Client understands that Company is not a doctor, nurse, lawyer, financial advisor, or licensed professional, and agrees to hold Company harmless for any physical, emotional, or financial impact occurring as a direct or indirect result of participation in the Membership.
g. Member-hosted meetups. Meetups are organized and supplied by members of the MotherHub Expert Network tier, not by Company. Company does not vet, endorse, supervise, or guarantee any meetup, venue, or activity, and makes no representation as to the quality, safety, value, or outcome of any gathering. Any dispute arising from a meetup is between Client and the hosting member, and Company is not a party to it. A hosting member acts on her own behalf and not as an agent, employee, representative, or partner of Company, and has no authority to bind Company or to make representations on its behalf.
a. The MotherHub is a private community. Client agrees to engage with fellow Members with respect, professionalism, and generosity. Company reserves the right to remove Client from the Membership in its sole discretion — without refund and without relief from payment obligations — if Client is found to be disruptive, harmful to other Members, or in violation of posted community standards.
b. Client agrees not to solicit, poach, spam, or directly market to other Members through community spaces, beyond normal marketplace, Rolodex, and Opportunities Board engagement governed by posted community guidelines.
c. Company reserves the right to establish, publish, and amend community guidelines at any time. Continued participation constitutes acceptance of the guidelines then in effect.
a. Client agrees not to make, publish, or communicate, directly or indirectly, any statement about Company, its programs, affiliates, employees, agents, or representatives, or about other Members of the MotherHub, that is false, misleading, defamatory, or harassing, or that discloses confidential information protected under Section 2. Company likewise agrees not to make any false, misleading, defamatory, or harassing statement about Client.
a. Client agrees at all times to defend, fully indemnify, and hold Company and any affiliates, agents, team members, or other associated parties harmless from any causes of action, injury, illness, damages, losses, costs, or expenses incurred as a result of Client’s participation in the Membership, including any in-person event or meetup hosted by Company, by another member, or by any third party, as well as any third-party claims arising from Client’s actions as a direct or indirect result of participation, as well as the actions or trainings of any third-party guest, or any actions of any third-party platform used by Company to provide the services in connection with the Membership.
a. Should a dispute arise between Company and Client, the parties agree to attempt to resolve it through good-faith negotiations. Client agrees that failure to achieve desired business results is not a basis for a dispute.
b. If the parties cannot resolve the dispute informally within thirty (30) days, it will be submitted to binding arbitration administered by the American Arbitration Association under its then-current rules. This Agreement is governed by the laws of the State of South Dakota, without regard to conflict-of-law principles. The arbitration will be conducted virtually by video conference and written submissions; any in-person proceeding, if required by the arbitrator, will take place in Minnehaha County, South Dakota. The arbitrator’s decision is final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect its intellectual property or confidential information.
a. This Agreement shall be governed by the laws of the State of South Dakota, regardless of conflict of law principles and regardless of Client’s location.
a. This Agreement may be amended or updated based on changes in relevant laws, the Membership offering, or Company’s choosing. Company will provide reasonable advance notice of material changes, and will provide written notice for any fee increase exceeding ten percent (10%) of the then-current annual rate. Client’s continued participation following notice of such changes constitutes agreement to the Agreement in its most updated form.
Client understands, acknowledges, and agrees she is purchasing access to The MotherHub Membership, created and offered by Cait Scudder International, LLC DBA The Millionaire Mother. The Membership includes the following deliverables for the duration of Client’s active annual term:
Three (3) live virtual expert workshops per calendar month, led by Company or by guest experts selected by Company. Topics, facilitators, scheduling, and format are at Company’s sole discretion. Workshops will be recorded and made available where possible.
One (1) structured virtual community networking call per calendar month. Format, facilitation, and scheduling are at Company’s discretion.
One (1) virtual office hours session per calendar month with Cait Scudder, in a group question-and-answer format. Scheduling is at Company’s discretion. Company does not guarantee that any individual question will be answered within a given session. Office hours are group programming and do not constitute individual coaching, consulting, or professional advice.
Client may submit requests to the Curated Connections Concierge, which will point her toward a resource within the MotherHub platform — a training, a Resource Vault item, a Member of the community, or a listing in the Expert Network directory. The Concierge is a signposting service. It does not route business, make referrals on Client’s behalf, or guarantee that any connection will result in an engagement. Response times and volume of requests are at Company’s discretion.
Client will have access to the meetups channel within the MotherHub community, where members of the MotherHub Expert Network tier post local in-person gatherings they are hosting. Hosting is limited to Expert Network tier members; Members who do not hold Expert Network access may attend but may not host. Attendance is included with an active Membership at no additional cost; hosting members may not charge an admission or ticket fee. Food, beverage, and similar costs may be incurred at an individual meetup and are determined by the hosting member and the attending Members, not by Company. Meetups are organized, hosted, and fulfilled by those Expert Network tier members, not by Company. Company does not guarantee that any meetup will be held, that any will be held within reach of any individual Member, or that any particular number will occur within a given term. Meetups may be capacity-limited and subject to RSVP. Travel, transportation, food, beverage, and all incidental costs are the sole responsibility of Client. Section 6e and Section 11g govern.
Client will receive a listing for her business in the MotherHub Rolodex within the Circle community, searchable by name, location, and area of expertise, subject to the content terms in Section 8. The listing is removed upon expiration or termination of the Membership.
Client will have access to Village Perks — offers, discounts, and complimentary services supplied by members of the MotherHub Expert Network and other third-party providers. Perks are supplied and fulfilled by those providers, not by Company. The number, type, value, and availability of perks vary over time and are not guaranteed. Section 11d governs.
Client will have access to the Opportunities Board, where Members and third parties post podcast opportunities, collaborations, hiring needs, and similar listings. Company does not vet, endorse, or guarantee any listing, and is not a party to any engagement arising from one. Client may engage with the Opportunities Board at her own risk, and understands any such listings are not in any way connected to Company.
Client will receive access to the Millionaire Mother Resource Vault, the library of Company courses, trainings, and systems, available from the date of enrollment. Library contents are determined by Company and may be added to, amended, or removed at Company’s discretion. Access terminates upon expiration or termination of the Membership. Vault materials are licensed for Client’s own use under Section 7 and may not be downloaded for redistribution, resold, or shared.
Client has carefully read this Deliverables Addendum and acknowledges she is aware of what is and is not included within the Membership. Company is under no obligation to provide anything beyond what is listed above.
Client understands that while Company intends to deliver all elements listed in this Addendum, Company reserves the right, in its sole discretion, to modify, adjust, or substitute elements if necessary, provided that the overall value and scope remain materially consistent. Such changes will not be considered a breach of this Agreement.
By completing the online purchase and being charged the amount listed on the checkout page, Client confirms she has reviewed this Deliverables Addendum, completed any necessary research, and asked any questions of Company and her team. Client understands she will not be entitled to a refund once completing this purchase.
