TERMS OF PURCHASE — THE MOTHERHUB EXPERT NETWORK

By checking the box next to the Terms of Use and clicking the “Purchase” button, you, the approved applicant to The Millionaire Mother MotherHub Expert Network (hereinafter “Client”), agree and willingly purchase access to the MotherHub Expert Network tier described below, to be provided by Cait Scudder International, LLC, a South Dakota Limited Liability Company DBA The Millionaire Mother (hereinafter “Company”). Client agrees she is voluntarily entering into a legally binding Agreement with Company, inclusive of the following terms and conditions mutually agreed upon. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by all parties, Client is voluntarily electing to purchase access to The MotherHub Expert Network (hereinafter “the Expert Network”). In exchange, Company agrees to provide the services outlined in the Expert Network details below and in the Deliverables Addendum attached hereto. Client understands and agrees that Company will utilize suitable methodologies in accordance with Company’s discretion to deliver the Expert Network as outlined.

1. OVERVIEW AND ELIGIBILITY

a. Client agrees and understands that she is purchasing access to The MotherHub Expert Network, an application-only visibility and networking tier within The Millionaire Mother’s MotherHub Community Membership platform.

b. Eligibility prerequisite. Active enrollment in The MotherHub Membership is a required condition of Expert Network participation. Client must maintain her MotherHub Membership in good standing for the entire duration of her Expert Network term. If Client’s MotherHub Membership lapses, is canceled, or is terminated for any reason, Client’s access to the Expert Network — and all associated deliverables — will be suspended or terminated accordingly, without refund.

c. Client’s admission to the Expert Network is granted on the basis of approval by Company, including but not limited to a submitted and accepted written application. Client agrees that materially false or misleading statements in her application constitute a breach of this Agreement and may result in immediate termination without refund.

d. Client acknowledges that she has read the Deliverables Addendum and conducted any additional research necessary to feel she understands what is being provided, as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures of Company.

2. CONFIDENTIALITY

a. Through participation in the Expert Network, Client will gain access to trade secrets and personal intellectual property of Company, including but not limited to strategic frameworks, business advice, operational materials, community spaces, and proprietary information belonging to other Experts. Client understands and acknowledges that this information is not to be shared outside the MotherHub Community or the Expert Network.

b. The Expert Network also includes a private peer community of mother founders. Client agrees to keep all information shared by fellow Experts strictly confidential, to refrain from using or appropriating any materials, ideas, or strategies shared by other members, and to honor the trust that makes the Network function. A breach of peer confidentiality is a breach of this Agreement, and any such breach may cause Client to be removed from the Expert Network and/or any Company-related programs.

c. Client agrees not to share, copy, or distribute any documents or proprietary information obtained through the Expert Network, and agrees that she will be in violation of these Terms if she uses any content obtained through the Network as her own material or repurposes it for sale or distribution without express written permission of Company, and may be removed from any/all Company programs if violated.

3. TESTIMONIALS

a. Client understands and agrees that any feedback provided by Client to Company about the Expert Network or Company in general — on any public platform or within Expert Network communications — may be used by Company as a testimonial and may be published in connection with marketing for the Expert Network and Company. Client hereby grants Company a non-exclusive, perpetual license to use all content of the testimonial, whether written or oral, as well as Client’s name, business name, and likeness. If Client would like to remain anonymous in any shared testimonial, Client must inform Company in writing of such request prior to any testimonial being posted.

4. PAYMENT AND PAYMENT TERMS

a. Payment authorization. By completing a purchase, Client authorizes Company to process the transaction amount in accordance with the payment option selected at checkout. All prices are in USD. Payments are processed through a secure, PCI-compliant third-party payment processor. Client is responsible for ensuring that her payment method and billing information remain current and accurate for the duration of any active payment plan.

b. Expert Network fee. The MotherHub Expert Network fee is $3,997.00 USD per year, or $399.00 USD per month for twelve (12) consecutive months, totaling $4,788.00 USD. This fee covers Expert Network access only.

c. Two separate purchases. Client understands and agrees that an active MotherHub Membership is required to gain and maintain access to the Expert Network.

d. Founding Mother of the Expert Network. A founding rate for the Expert Network (the “Founding EN Rate”) may be made available at Company’s discretion and is subject to change. Where offered, the applicable rate, payment options, and any associated conditions will be communicated at the time of invitation and disclosed at checkout. The Founding EN Rate is distinct from and independent of the Founding Mother rate on the MotherHub Membership. Special pricing applies to the initial term only and does not carry forward to subsequent renewal periods unless expressly stated by Company in writing.

e. Twelve-month commitment. The Expert Network purchase is a twelve (12) month commitment regardless of the payment option selected. Monthly installments are a payment convenience, not a month-to-month arrangement. Client may not cancel individual installments or exit the plan early. All twelve installments are due and payable in full regardless of Client’s level of participation, satisfaction, engagement, early departure, or lapse of MotherHub Membership.

f. Failed or late payments. If a scheduled payment cannot be processed, Client will be notified promptly and must resolve the failed payment within five (5) calendar days of notice. If the payment is not resolved within this grace period, access to the Expert Network may be suspended until the account is brought current. After two (2) consecutive failed payment attempts with no resolution, Company reserves the right to permanently revoke Expert Network access and refer the outstanding balance to a third-party collections agency. Suspension or termination of access for non-payment does not cancel Client’s obligation to complete all remaining payments.

g. No withholding. Client may not withhold, offset, or reduce any payment for any reason — including dissatisfaction, disputes, perceived non-delivery, or personal circumstances — unless expressly required by applicable law.

h. Chargebacks. Before initiating a chargeback or payment dispute with her card issuer or financial institution, Client must submit a written request to support@themillionairemother.com and allow seven (7) business days for Company to review and respond. Initiating an unwarranted chargeback without first contacting Company constitutes a material breach of this Agreement and may result in immediate suspension or termination of access without refund, dispute of the chargeback with full supporting documentation submitted to the payment processor, recovery of any chargeback fees or related damages incurred by Company, and reporting of the matter to relevant payment processors or authorities where applicable.

i. Taxes and currency. Client is solely responsible for any applicable taxes, duties, or currency conversion fees related to her purchase. All payments must be made in USD as specified at checkout.

5. REFUND POLICY

a. All sales are final. Due to the nature of the Expert Network — including the immediate activation of platform deliverables such as directory listings and the Expert Listing Page — Company is not able to offer refunds once Client’s purchase is complete. Please conduct any and all necessary research to determine whether the Expert Network is right for you prior to purchasing.

b. If Client cancels or exits the Expert Network prior to the end of her annual term, no refund or prorated credit will be issued. Clients on a payment plan remain obligated to complete all payments as outlined in Section 4e.

c. Company reserves the right to remove a Client from the Expert Network for breach of these Terms, conduct violations, or any other reason in Company’s sole discretion. Removal for cause does not entitle Client to a refund or relief from outstanding payment obligations.

6. DELIVERABLES; SCHEDULING; COMPANY DISCRETION

a. The deliverables included in the Expert Network are described in the Deliverables Addendum attached hereto. All deliverables are active for twelve (12) months beginning on the Activation Date as defined in Section 9a.

b. Live events. Scheduling of live events — including monthly Expert Network connection calls, the annual Expert Network reception, and Client’s guest teaching slot — is at Company’s sole discretion. Company will provide advance notice of dates and will make reasonable efforts to accommodate scheduling. Inability to attend a scheduled event does not constitute grounds for a refund, credit, or rescheduling of a dedicated event slot.

c. Company reserves the right to modify, adjust, or substitute elements of the Expert Network if necessary, provided that the overall value and scope of the tier remain materially consistent. This includes changes to delivery method, event format, scheduling, platform, or substitution of elements with offerings of equal or greater value. Such changes will not be considered a breach of this Agreement.

d. Annual Expert Network reception. Client will have the option to purchase access to Company’s Annual Expert Network Live reception, which will be held on October 1–3, 2027. Location, format, and event ticket pricing are determined by Company and will be communicated in advance. Dates for subsequent years are set annually at Company’s discretion. Attendance at the reception requires a valid MotherHub Live event ticket, which is sold separately and is not included in the Expert Network fee. Travel, accommodation, event admission, and all incidental costs are the sole responsibility of Client.

e. Reception timing. Access to the annual Expert Network reception is available only during Client’s active Expert Network term. If the reception takes place after Client’s term ends, Client may attend only if she has renewed her Expert Network membership and is in good standing at the time of the event.

7. BADGE AND BRANDING RIGHTS

a. Upon activation of Client’s Expert Network membership, Client will receive the MotherHub Expert Network badge for use on her own website, email signature, and marketing materials.

b. Client’s right to display the MotherHub Expert Network badge is contingent upon active, good-standing participation in both the Expert Network and the MotherHub Membership. Upon expiration, cancellation, or termination of Client’s Expert Network membership for any reason, Client must immediately cease use of the badge and remove it from all platforms and materials.

c. Client agrees not to alter, modify, or misrepresent the badge in any way, and understands that the badge is a licensed credential — not owned by Client — and may be revoked by Company at any time. Continued use of the badge following termination constitutes infringement and may be pursued to the full extent of the law.

8. DIRECTORY AND EXPERT LISTING PAGE

a. Rolodex listing and Expert Network mark. All MotherHub Members receive a listing in the MotherHub Rolodex within the Circle platform. Client’s listing will additionally carry the Expert Network mark for the duration of her active term, identifying her as a vetted Expert Network member. Upon expiration or termination of the term, the Expert Network mark is removed. Company is not responsible for traffic, leads, inquiries, or business results generated from any listing.

b. Public directory listing. While Client has an active membership within the Expert Network, Client will receive a listing in the public MotherHub Expert Network directory on themillionairemother.com, categorized by Client’s selected business category, and searchable by visitors to the site.

c. Expert Listing Page. While Client has an active membership within the Expert Network, Client will receive an Expert Listing Page on themillionairemother.com, published in Company’s standard format and layout. Design, format, structure, and page template are determined solely by Company and are uniform across the Expert Network. The scope of Client-supplied content is communicated during onboarding. Client grants Company the right to publish her business information, name, likeness, and supplied materials on the page for the duration of her active term. Upon expiration or termination, the page and all directory listings will be removed.

d. Client is responsible for supplying accurate, current, and lawful content for her listing and page, and warrants that she holds all necessary rights in any images, text, or marks she supplies.

9. TERM; RENEWAL; TERMINATION

a. Activation Date. Client’s Expert Network term runs for twelve (12) months beginning on the date on which Client completed her purchase of the Expert Network.

b. No automatic renewal. The Expert Network does not automatically renew. Client must actively elect to renew, and renewal is subject to Company’s approval and the terms and pricing in effect at the time of renewal.

c. Company may terminate Client’s Expert Network access at any time for breach of these Terms, failure to maintain MotherHub Membership, failure to make required payments, conduct harmful to other Experts or the broader MotherHub community, or for any other reason in Company’s sole and complete discretion. Termination for cause does not entitle Client to a refund or relief from outstanding payment plan obligations.

d. End-of-term notice. Company will provide written notice to Client no fewer than thirty (30) days prior to the end of her annual term, stating the end date and the renewal terms and pricing then in effect.

e. Client may exit the Expert Network at any time by providing written notice to support@themillionairemother.com. Exit does not relieve Client of payment plan obligations. All platform deliverables — Expert Listing Page, directory listings, Expert Network mark, Village Perk placement, and badge rights — will be deactivated upon exit.

10. VOLUNTARY PARTICIPATION

a. Client understands and agrees that she is voluntarily choosing to apply for and enroll in the Expert Network and is solely responsible for any outcomes or results. Company is not responsible or liable to Client should Client sustain any injuries, incur harm, or encounter any negative ramifications as a result of participation. Client assumes full responsibility for her participation and all results therein.

11. DISCLAIMER

a. Company cannot guarantee results of the Expert Network and cannot make any representations or guarantees regarding individual outcomes, including visibility results, lead generation, revenue, or business growth.

b. Platform statistics referenced in marketing materials — including website traffic and social reach — reflect Company’s overall platform performance at the time of publication and are not guarantees of results for any individual Expert listing, Expert Listing Page, or social feature.

c. The Curated Connections Concierge (the “Concierge”), an artificial intelligence agent built inside the platform, points Members toward resources within the MotherHub platform, which may include content in the Resource Vault, Members of the community, or listings in the Expert Network directory. The Concierge does not route business, refer clients, or generate leads on behalf of any Expert, and Company makes no representation that any Expert will receive inquiries, referrals, or business through it. Company makes no representations or guarantees regarding the quality, availability, or results of any third-party provider, including Experts listed in the directory, and is not responsible for the outcome of any business engagement between Members and Experts.

d. Client understands that Company is not a doctor, nurse, lawyer, financial advisor, or licensed professional, and agrees, to the fullest extent allowable by law, to hold Company harmless for any physical, emotional, or financial impact occurring as a direct or indirect result of participation in the Expert Network.

12. INTELLECTUAL PROPERTY

a. All content, frameworks, materials, and programming associated with the Expert Network remain the intellectual property of Company (“Company IP”). Nothing in this Agreement constitutes a transfer of ownership of any intellectual property from Company to Client. During the applicable Expert Network term, Client shall be granted a limited license to use the Company IP in her own business and in connection with business and personal growth, but agrees not to copy, reproduce, distribute, or exploit any proprietary content accessed through the Expert Network without express written permission from Company. Any such decision to share, sell, or otherwise distribute any Company IP will be grounds for immediate removal from the Expert Network and MotherHub membership, and Client may be liable to Company for any resulting damages or harm incurred due to the breach.

b. Client retains ownership of her own business’s intellectual property and is solely responsible for ensuring that any content she shares within the Expert Network, or supplies for publication under Section 8, does not infringe upon the rights of any third party. Client shall indemnify, defend, and hold Company harmless from and against any costs, causes of action, or allegations against Company caused by Client’s intellectual property, including allegations of infringement or any other impropriety.

c. If Client provides a guest training or masterclass for the MotherHub community, Client retains all intellectual property rights in the training and materials. Client grants Company a permanent, non-exclusive, royalty-free license to host the recording and any materials Client provides inside MotherHub and to make them available to members inside the MotherHub community. This license continues after Client’s Expert Network term ends, including if Client is removed from the Expert Network.

13. COMMUNITY STANDARDS

a. The Expert Network is a private, application-only peer community. Client agrees to engage with fellow Experts with respect, professionalism, and generosity. Company reserves the right to remove Client from the Expert Network — without refund and without relief from payment obligations, to the fullest extent of the law — if Client is found to be disruptive, harmful to other Experts, or in violation of posted community standards.

b. Client agrees not to solicit, poach, or directly recruit other Experts or MotherHub Members as clients or customers through Network spaces, beyond normal marketplace and directory engagement governed by posted community guidelines.

14. NON-DISPARAGEMENT

a. Client agrees not to make, publish, or communicate, directly or indirectly, any statement about Company, its programs, affiliates, employees, agents, or representatives, or about other members of the Expert Network or MotherHub, that is false, misleading, defamatory, or harassing, or that discloses confidential information protected under Section 2. Company likewise agrees not to make any false, misleading, defamatory, or harassing statement about Client.

15. INDEMNIFICATION

a. Client agrees at all times, to the fullest extent allowable by applicable law, to defend, fully indemnify, and hold Company and any affiliates, agents, team members, or other associated parties harmless from any causes of action, injury, illness, damages, losses, costs, or expenses incurred as a result of Client’s participation in the Expert Network, including any third-party claims arising from Client’s actions as a direct or indirect result of participation, and any third-party claims arising from content Client supplies for publication under Section 8.

16. DISPUTE RESOLUTION

a. Should a dispute arise between Company and Client, the parties agree to first attempt to resolve it through good-faith negotiation. Client acknowledges that Company does not guarantee any particular business result — including from directory listings, social features, or Client’s Expert Listing Page — and that failure to achieve desired results is not a basis for a dispute or refund.

b. If the parties cannot resolve the dispute informally within thirty (30) days, it will be submitted to binding arbitration administered by the American Arbitration Association under its then-current rules. This Agreement is governed by the laws of the State of South Dakota, without regard to conflict-of-law principles. The arbitration will be conducted virtually by video conference and written submissions; any in-person proceeding, if required by the arbitrator, will take place in Minnehaha County, South Dakota. The arbitrator’s decision is final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect its intellectual property or confidential information.

17. APPLICABLE LAW

a. This Agreement shall be governed by the laws of the State of South Dakota, regardless of conflict of law principles and regardless of Client’s location.

18. AMENDMENTS

a. This Agreement may be amended or updated based on changes in relevant laws, the Expert Network offering, or Company’s choosing. Company will provide reasonable advance notice of material changes, and will provide written notice for any fee increase exceeding ten percent (10%) of the then-current annual rate. Client’s continued participation following notice of such changes constitutes agreement to the Agreement in its most updated form.

EXPERT NETWORK DELIVERABLES ADDENDUM

Client understands, acknowledges, and agrees she is purchasing access to The MotherHub Expert Network, created and offered by Cait Scudder International, LLC DBA The Millionaire Mother. As outlined on the sales page, the Expert Network includes the following deliverables for the duration of Client’s active annual term, beginning on the Activation Date:

1. Expert Listing Page

Client will receive one (1) Expert Listing Page published on themillionairemother.com, featuring Client’s business information, service offerings, Village Perk, and links. The page is published in Company’s standard format and layout, which is uniform across the Expert Network. Design, structure, and template are determined solely by Company. The page is removed upon expiration or termination of Client’s term.

2. Expert Network directory listing and Rolodex mark

Client will receive a listing in the public MotherHub Expert Network directory on themillionairemother.com, categorized by Client’s business category and searchable by visitors. In addition, Client’s existing MotherHub Rolodex listing within the Circle community will carry the Expert Network mark for the duration of her term. Listings are maintained by Company. The Rolodex listing itself is a benefit of MotherHub Membership; the Expert Network mark is the Expert Network deliverable.

3. MotherHub Expert Network badge

Client will receive the MotherHub Expert Network badge for use on her own website, email signature, and marketing materials, subject to the usage terms outlined in Section 7 of this Agreement. The badge is a licensed credential and must be removed upon expiration or termination of Client’s Expert Network membership.

4. Annual social feature

Client will receive one (1) feature inclusion per annual term on Company’s Instagram account. Scheduling of features is at Company’s sole discretion. Client will be given reasonable advance notice of her feature date and an opportunity to provide or review her submitted information prior to publication.

5. Annual guest teaching space

Client will have the opportunity to lead one (1) virtual workshop or session per annual term inside the MotherHub Membership community. Topic, duration, scheduling, format, and promotion are subject to Company’s approval and coordination. Company reserves the right to reschedule or modify logistics as needed.

6. Private Expert Network community

Client will receive access to the exclusive Expert Network space within Circle, accessible only to approved Experts. This space includes member chat, collaboration, and private networking. Access is contingent upon active membership in good standing.

7. Monthly Expert Network connection calls

Active Experts in good standing will have access to one (1) monthly virtual connection call, exclusive to the Expert Network. Scheduling, format, and facilitation are at Company’s discretion. Calls will be recorded where possible.

8. Annual Expert Network reception

Client will have access to one (1) annual private reception for the Expert Network, held within MotherHub Live, Company’s annual in-person event. The 2027 event will be held October 1–3, 2027 (with dates subject to change with advance notice). Location, logistics, and event ticket pricing are determined by Company and communicated in advance. Dates for subsequent years are set annually at Company’s discretion. Attendance requires a valid MotherHub Live event ticket, sold separately and not included in the Expert Network fee. Travel, accommodation, event admission, and personal expenses are the sole responsibility of Client. Where scheduling causes MotherHub Live to fall outside Client’s individual term, Section 6e governs. Company is not responsible for costs incurred due to cancellation, rescheduling, or inability to attend.

9. Village Perk

Client will supply one (1) Village Perk — an offer, discount, complimentary consultation, or equivalent benefit — made available to MotherHub Members for the duration of her term. Company will place Client’s Village Perk on her Expert Listing Page, in the public Expert Network directory, and within the MotherHub Member perks area in Circle. Client is responsible for honoring her Village Perk for all Members who redeem it during her active term, and for supplying accurate offer terms, value, and redemption instructions. Company reserves the right to decline or request revision of any perk that is unclear, unsubstantiated, or inconsistent with community standards. Supplying a Village Perk is a condition of Expert Network participation.

Client has carefully read this Deliverables Addendum and acknowledges she is aware of what is and is not included within the Expert Network. Company is under no obligation to provide anything beyond what is listed above.

Client understands that while Company intends to deliver all elements listed in this Addendum, Company reserves the right, in its sole discretion, to modify, adjust, or substitute elements if necessary, provided that the overall value and scope remain materially consistent. Such changes will not be considered a breach of this Agreement.

By completing the online purchase and being charged the amount listed on the checkout page, Client confirms she has reviewed this Deliverables Addendum, completed any necessary research, and asked any questions of Company and her team. Client understands she will not be entitled to a refund once completing this purchase.
